Contract Drafting 101

What is a contract?  Generally, a contract is a written or spoken agreement that is intended to be enforceable by law. Written contracts are typically more reliable and provide less risk versus spoken agreements. Spoken agreements often lead to discrepancies over the parties’ intent, performance, and breach.

Things to Consider When Drafting a Contract

  1. Use language that is specific to your business and the services you will provide or that you are expecting

  2. Explicitly state what you are expecting from the other party

  3. Explicitly state what the other party should expect from you

  4. Ensure that the contract includes language specifically related to the industry you work in

  5. Ensure that the language in the contract is clear
